Consulting Agreement

This Consulting Agreement (“Agreement”) governs the professional relationship between Eridaniverse (“Company,” “we,” or “us”) and the client (“Client,” “you”).

By purchasing or booking a session, you acknowledge that you have read, understood, and agree to the terms below.

Scope of Services

Eridaniverse provides coaching, consulting, and educational guidance related to projects, professional development, creative work, communication, strategy, and related areas as requested by the Client.

Services are advisory and educational in nature. Client understands that all services are consultative and informational, and no employment, partnership, or fiduciary relationship is created.

Eridaniverse does not complete projects on behalf of the Client unless expressly agreed in writing.

No Guarantee of Results

Client acknowledges that Eridaniverse does not guarantee specific results, outcomes, approvals, income, employment, publication, project success, or any measurable milestone.

Outcomes depend on numerous factors beyond our control, including Client effort, external decision-makers, market conditions, and other variables.

Client remains solely responsible for final decisions, actions, and submissions.

Client Responsibility

Client agrees to:

• Provide accurate information.

• Retain full responsibility for the implementation of advice or recommendations.

• Exercise independent judgment in all final decisions.

Eridaniverse provides coaching and consulting services. We do not provide licensed legal, financial, medical, or other regulated professional services. Clients are encouraged to seek appropriate licensed professionals where necessary.

Payment & Refund Policy

Payment is due in full at the time of booking unless otherwise agreed in writing.

Sessions may be canceled or rescheduled up to 24 hours prior to the scheduled start time to receive a full refund or to apply the payment toward a rescheduled session, in accordance with the Company’s Terms and Conditions.

Cancellations or rescheduling requests made less than 24 hours before the scheduled session time are non-refundable.

Failure to attend a scheduled session without prior notice (“no-show”) will result in forfeiture of the session fee.

Repeated cancellations or rescheduling may result in refusal of future bookings.

Refunds, when applicable, will be issued to the original method of payment within a reasonable processing timeframe.

Package sessions, if offered, must be used within the timeframe specified at purchase and are subject to the same cancellation policy.

All payments are processed through third-party payment processors and are subject to their respective terms and policies.

Confidentiality (Paid Services)

Information shared during paid coaching or consulting sessions will be treated as confidential and will not be publicly disclosed, except as required by law or with Client consent. Confidentiality does not create a legally privileged relationship, and Eridaniverse is not acting as a licensed attorney, therapist, or other regulated professional.

This does not apply to public Office Hours sessions, which are governed by a separate agreement.

Limitation of Liability

To the fullest extent permitted by law, Eridaniverse shall not be liable for any indirect, incidental, consequential, or special damages arising from consulting services.

In no event shall total liability exceed the amount paid for the specific session giving rise to the claim.

Client agrees that this limitation is reasonable given the nature of the services provided.

Intellectual Property

All materials, frameworks, templates, and educational content provided during consulting sessions or related services remain the intellectual property of Eridaniverse.

Client may use materials for personal, non-commercial purposes only. No ownership rights are transferred to the Client.

Materials may not be reproduced, distributed, or resold.

Governing Law

This Agreement shall be governed by the laws of the State of New York.

Any disputes shall be resolved in the state or federal courts located in New York.

Acceptance of Agreement

By booking and completing payment for consulting services, Client acknowledges and agrees to this Agreement.
